Estimated timelines provided during project planning are intended as projections and should not be interpreted as legally guaranteed completion dates unless expressly stated in a written agreement.

5. Intellectual Property

Unless otherwise specified in a written agreement, SoftwareDire retains ownership of its proprietary development methodologies, frameworks, source libraries, tools, reusable code components, design systems, documentation standards, and intellectual property used in the creation of client solutions.

Upon completion of contractual obligations and payment of all applicable fees, clients may receive ownership or licensing rights to project deliverables as defined within the applicable service agreement. Ownership terms may vary depending on project scope and contractual arrangements.

6. Third-Party Services & Software

Projects may involve third-party platforms, APIs, cloud providers, hosting services, payment gateways, software libraries, analytics tools, artificial intelligence services, or external technologies.

SoftwareDire is not responsible for service interruptions, policy changes, pricing modifications, security incidents, functionality limitations, or operational issues arising from third-party services beyond our direct control.

7. Payments & Fees

Fees for services shall be governed by the applicable proposal, quotation, contract, or service agreement entered into between SoftwareDire and the client.

Failure to make payments according to agreed terms may result in project delays, suspension of services, withholding of deliverables, termination of agreements, or legal recovery actions where permitted by applicable law.

8. Confidentiality

SoftwareDire recognizes the importance of protecting confidential business information. We make reasonable efforts to safeguard proprietary information shared during project engagements and maintain confidentiality obligations as defined in applicable agreements.

Clients are likewise responsible for protecting confidential credentials, access information, internal business data, and other sensitive materials exchanged during service delivery.

9. Limitation of Liability

To the maximum extent permitted by law, SoftwareDire shall not be liable for any indirect, incidental, consequential, special, punitive, or business-related damages arising from the use of our website, services, software products, or delivered solutions.

This includes but is not limited to loss of revenue, business interruption, loss of profits, data loss, cybersecurity incidents, operational disruptions, or damages resulting from third-party services, integrations, hosting providers, or client misuse of delivered software.

10. Warranties Disclaimer

All services, software, content, and materials provided by SoftwareDire are offered on an “as-is” and “as-available” basis unless otherwise expressly stated in a written agreement.

We do not guarantee uninterrupted operation, error-free performance, compatibility with all systems, continuous availability, or achievement of specific business outcomes resulting from the use of our services or software solutions.

11. Acceptable Use

  • No attempts to gain unauthorized access to systems or infrastructure
  • No distribution of malware, malicious code, or harmful software

12. Service Suspension & Termination

SoftwareDire reserves the right to suspend, restrict, or terminate access to services where clients violate these Terms & Conditions, engage in unlawful conduct, fail to meet payment obligations, abuse services, or create security risks to our systems or operations.

Termination shall not affect accrued rights, payment obligations, intellectual property protections, confidentiality requirements, or other provisions intended to survive termination.

13. Changes to These Terms

We may revise, update, modify, or replace these Terms & Conditions at any time to reflect changes in business operations, legal requirements, service offerings, or industry practices.
